Joint cooperation protocol between Misr El Kheir Foundation and Aswan University regarding the payment of tuition fees for expatriate students who are unable, those who meet the criteria of the Ibn al-Sabil program (December 2021)
On Monday, 6th December 2021, this protocol was issued between:
First: Misr El-Kheir Foundation:- (a non-governmental organization registered with No. 555 of 2007(
Its main headquarters is in Administrative Building No. (4) Al-Ahram Street – Upper Hill – Fountain Square – Mokattam – Cairo. It is represented in signing this protocol by:
Colonel / Medhat Ahmed Jamal in his capacity as / Senior Director of Ibn Al-Sabil Program
Mr. Ahmed Ali, in his capacity as the Executive Director of the Program at the Foundation.
Hereinafter referred to as the First Party – the foundation
Second: Aswan University:-
Its headquarters is in Aswan Governorate. It is represented in signing this protocol by Prof. Ayman Mahmoud Othman Abu Zaid in his capacity as university President
Hereinafter referred to as the second party – the university
Preface
Misr El Kheir Foundation:
It is a non-governmental, non-profit organization, registered under No. 555 of 2007, and work in accordance with the provisions of Law No. 149 of 2019, and its executive regulations issued pursuant to Prime Minister’s Resolution No. 104 of 2021. It aims to serve the development and empowerment of the Egyptian society for a decent life, by contributing These studies are in the fields of health, education, scientific research, social solidarity, and aspects of life. In this context, Misr El Kheir Foundation is always striving to achieve what it aims for through real, effective partnerships with serious institutions and associations working in the aforementioned fields.
– As “Ibn al-Sabil” program represents one of the most important programs implemented by Misr El-Kheir, which serves a wide range of expatriate students, through contracting with Egyptian universities for the purpose of providing support to bear tuition fees for students who are unable. For the benefit of those students who are unable to afford these expenses.
– In light of the foregoing, it was agreed to conclude this protocol for the purpose of the Misr El-Kheir Foundation (the first party) providing financial support to the university in the amount of 127,000 (one hundred and twenty-seven thousand pounds only) in favor of supporting 140 male and female students at Aswan University to pay Tuition fees for them during the academic year 2021-2022.
Accordingly, the desire of the two parties converged in accordance with their social responsibilities, and they agreed on the following:
First Item
The preamble and the annexes attached to this protocol are an integral part of this protocol and are complementary to it and work together as one indivisible unit.
Expenses:
- A) A list accredited by Aswan University of the names of the students who benefited from the support provided by the institution, along with the original receipts for the payment of their tuition fees.
Second item
Obligations of the parties to the protocol
First: Obligations of the First Party (Misr El Kheir Foundation (
1-Full coordination with the second party to select the target students from the protocol activities.
2- Paying a total funding of 127,000 (one hundred and twenty-seven thousand Egyptian pounds only) in favor of supporting 140 male and female students at Aswan University to pay their tuition fees during the academic year 2021-2022. This is according to the budget and financial resources available to the institution during the year 2021.
3) The institution conducts a survey of the beneficiary students’ opinion or conducts community research for the beneficiary students in order to ascertain the extent to which the university applies the agreed standards through the students’ data shown in the list.
4) Due to the circumstances of the Corona virus invasion and the application of the precautionary measures for postponing the study in accordance with the incoming, sovereign and official decisions in this regard. Payment is made to students who are actually in the university campus, as well as students who have benefited from paying tuition fees, as a maximum of the allocated amount or the actual period, whichever is less.
Second: Obligations of the Second Party (Aswan University)
1) The second party is obligated to submit a statement accredited by Aswan University with the names of the students who benefited from the support provided by the institution.
Third Item
This protocol is valid for a period of six months, starting on 1/12/2021 and ending on 31/5/2022. In the event that the two parties wish to renew the work of this protocol, it will be according to an appendix to be written within the framework of implementing these protocols.
Fourth item
Allowable period of costs:
The activities and financial settlement must be completed on the end date specified in this protocol.
Fifth item
Termination this protocol
This protocol may be terminated in the following cases:
1) If the two parties agree that the continuation of the implementation of this protocol will not be beneficial. The parties to the protocol must agree on the conditions for its termination, including its termination or a part designated for termination in the case of partial termination.
2) For any reason or incidental to which the parties have nothing to do
3) This protocol can be canceled by one of the parties to the protocol when the other party fails to fulfill the obligations and responsibilities specified for it in this protocol. Provided that the other party is officially notified 30 days before the date set for cancellation.
4) In the event of a shortage or depletion of the available resources allocated to financing the project activities from the funds of the first party without any responsibility on the part of the institution.
5) In the event of the spread of the Corona virus and the impossibility of completing the study during the current academic year.
6) During the issuance of a sovereign decision by the state to reconcile the study due to the imposition of precautionary measures to confront Corona virus pandemic.
Sixth item and Amendment
Neither party has the right to make any amendment to the terms of this protocol or any amendment to the expenditure items or the budget allocated for the implementation of the project or any change of its kind with regard to the implementation of the activities agreed upon within the framework of this protocol without obtaining the official approved and written approval of the other party.
Seventh Item
Exemption from legal liability
1) As agreed between the two parties, this protocol does not make either party an agent or legal representative of the other party for any purpose.
2) As agreed and understood, the participants on the part of the second party to implement this protocol or the beneficiaries of its activities, whoever they are, or the project workers are not employees of the first party and are not entitled to any of the social or functional privileges that this party prevents its employees in any way.
3) Both parties to the protocol acknowledge that each party bears full legal responsibility for any damages that may occur during the implementation of this protocol, with regard to the part responsible for its implementation. Whether this damage occurred to the other party or the students benefiting from the project or because of them or others.
Eighth Item
General Terms:
1) No Party shall be deemed to have breached its obligations under this Protocol if it has been prevented from fulfilling them for reasons of force majeure.
2) As agreed and understood, it must be agreed in writing on the media and marketing activities (if any) for the activities that will be implemented within the framework of this protocol and to be approved by the first party.
3)All correspondences that are sent from one of the parties to the other party at the address indicated in the issuance of this protocol next to the names of each of them shall be valid and produce their legal effects. Each party is obligated to notify the other party in the event of a change in its address, by a registered letter with acknowledgment of receipt sent to the other party within a week from the date of the change of address.
4) Neither party to this Protocol may use the other party or its trademark except in commercial activities agreed upon in writing under this Protocol. Otherwise, all other uses will be considered an infringement and modification of the rights of the other party unless expressly approved in writing.
5)This includes all the terms and understandings agreed upon by the two parties to the protocol. He also did not consider any understandings or agreements in this regard that were not written and signed in writing by both parties. It is not permissible to amend or cancel any items in this protocol without the written consent of both parties.
Ninth Item
Governing law and dispute resolution:
1)This protocol and its appendices are subject to the Egyptian laws and its provisions shall be interpreted in the light of its provisions.
2)The rules and provisions of the Egyptian law shall be applied in every case for which there is no special provision in this protocol or in the correspondences or exchanges agreed upon between the two parties during the period of implementation of this protocol.
3) If any provision of this Protocol is found to be illegal, invalid or unenforceable, the illegality, invalidity or unenforceability shall not affect the other provisions of this Protocol which shall remain in full force and effect.
4) Each of the two parties agreed to settle any dispute arising due to the implementation or interpretation of any provision of this protocol by amicable means. If it is not settled amicably within 30 days from the date of the dispute. Then resort to the competent courts in Aswan Governorate.
Tenth Item
Contract eligibility and capacity:
By signing below this protocol, each of the contracting parties acknowledges its legal capacity to conclude this protocol as a representative of the party it represents, and this contract is binding on both parties.
Eleventh Item
Copying the protocol
This protocol was drawn up in three identical copies, in the hands of the first party two copies and the second party a copy to work with when necessary.
