Memorandum of Understanding between the Faculty of Agriculture and Natural Resources – Aswan University and the Egyptian Gulf Company for the Reclamation of Desert Lands
To achieve fruitful cooperation between the Faculty of Agriculture and Natural Resources – Aswan University and the Egyptian Gulf Company for the Reclamation of Desert Lands in the field of cultivating the jojoba plant using unconventional water, the two sides agreed on 10/22/2019 between:
Agriculture and Natural Resources faculty located in aswan university – sahary city airport road represented by Prof.yasser abdel hamid diab – dean of the faculty of agriculture and natural resources – aswan university hereinafter referred to (the first party).
the egyption gulf company for the reclamation of Desert lands located in Alexandria – Smouha – Green Towers – Sidi Gaber Section – building 14 – the second floor represented by company’s board chairman , Eng. Ismail Mohamed ahmed Mohamed hereinafter referred to as (the second party).
Preamble:
The Faculty of Agriculture and Natural Resources, Aswan University, is a distinguished scientific institution in educational programs and community service in the natural sciences and Its scientists have distinguished researchs in the field of reclamation and cultivation of lands and deserts, agricultural planning and development, agricultural biotechnology, plant production, as well as the production and technology of aromatic medicinal plants, and many fields, as well as contributing Distinguished in preparing students to demonstrate distinction and creativity in their unique fields of specialization.
An Egyptian joint stock company with a purely Egyptian capital, commercial register (7808) and tax card No. (310 – 217 – 506), and the company has great experience in the field of land reclamation and uses the modern scientific method to carry out the process of agriculture and irrigation and is considered one of the first companies that cultivated jojoba (the crop is not Conventional) by using not traditional water (well water above 300 PPM or treatment water) to conserve fresh water and not exhaust it in light of water scarcity.
Within the framework of scientific cooperation and a desire to increase the area planted with jojoba, the two parties’ desire for scientific and technical cooperation and support for civil society met, which constitutes a form of cooperation between the private sector and higher education; Where it was agreed that the two parties would encourage and support cooperation in the field of research and development and exchange of experiences on the basis of mutual benefit and in accordance with the laws and regulations of each of the two parties, and with a desire to define the framework of understanding on this subject, the two parties have agreed on the following:-
Article 1: The previous preamble is an integral part of this memorandum.
Article Two:Cooperation Fields :
The two parties agreed to cooperate with each other in the field of jojoba cultivation in terms of production and crop quality using wells above PPM3000, treated drainage or Nile water.
Article Three: Obligations of the First Party:
1- Determine the representative of the first party the point of contact with the company to implement the of the agreement.
2- Researchers at the Faculty of Agriculture and Natural Resources make periodic reports on the growth of jojoba plants from planting to harvest and during the period of cooperation.
3- In case of a researcher conducts research experiments at one of the company’s websites, the college must submit an approved notification to the company with the title of the research, the name of the researcher and the space required before carrying out the research within a maximum period of one month.
4- The college is committed to providing an area of 5 acres and the source of irrigation and irrigation networks to make a pilot model (Jojoba acres), and the college supervises it after the completion of cultivation.
Article Four: Obligations of the Second Party:
1- In case the college desires to conduct research and studies on jojoba trees and seedlings in one of the company’s farms, the company shall provide the required area, greenhouses, employment, irrigation source, fertilizers and pesticides available at the company.
2- The company has the right to benefit from the results of the research and recommendations in the studies conducted on the company’s farms.
3- The company provides all the data and results needed by researchers at the stages of jojoba plant growth, which the company has reached through its expertise in this field.
4- The company provides the source of tissues in case the researchers propagate the jojoba plant using the tissue culture technique (TISSUE CULTURE).
5- In the absence of sufficient data in one of the areas of the company’s site, the researchers take representative samples of soil and water and conduct the required analyzes at the college laboratories.
6- The company provides one or more experts from the company’s engineer and the necessary requirements when the college desires to conduct a field visit to the company’s nurseries and farms.
7- The company is committed to providing jojoba seedlings, the product of multiplication of the vegetative cuttings necessary for the cultivation of the model, with the provision of programs for cultivation, processing and care after planting.
Fifth Article: Memorandum Duration:
The work begins from the date of its signature, and for a period of three years, and is automatically renewed unless one of the parties notifies the other of its unwillingness to renew, at least six months before its end from the date of its expiry.
Article Six: Amending the Memorandum:
This Memorandum of Understanding can only be amended or revised by a written Memorandum of Understanding and with their consent.
Article Seven:
In the event that this Memorandum of Understanding is not renewed, work will continue to implement the existing joint programs arising from it in accordance with the provisions of this Memorandum of Understanding until its termination.
Article 8: Confidentiality of Information
The two parties are obligated to maintain the confidentiality of what is stated in this memorandum and not to disclose it to others without obtaining the written consent of the other party.
Article Nine: Correspondence:
Any correspondence or communication regarding this Memorandum of Understanding must be in writing and must be personally delivered or sent by fax, express delivery service or registered mail and in each case sent to all the parties mentioned above with the fax numbers mentioned above.
Article 10: Intellectual Property Rights
The two parties are obligated to observe the intellectual and moral property rights, private or owned by the other party, and not to infringe upon them. In the event that a new product is reached, the rights to this property are distributed by 60% in favor of the college and 40% in favor of the Egyptian Gulf Company, provided that the percentage of the innovative researcher is within the college’s percentage and dispose of its knowledge.
Article Eleven: Copies of the memorandum:
The memorandum has been drawn up in two original copies, and each party shall hand over a copy to act upon it.
